Terms of Service.

1. Agreement to Terms

By purchasing, leasing, or using GPS tracking hardware, software, or related services from GPS Tracking Technology LLC ("Company," "we," "us") (collectively, "Services"), you ("Client") agree to these Terms of Service. These Terms form a binding agreement together with any order form, subscription agreement, or statement of work you execute with the Company.

2. Provision of Services

The scope of Services—including devices, installation, portal access, data plans where applicable, training, and support—will be described in your order, quote acceptance, or written agreement. The Company will perform Services in a professional manner. The Client will provide safe site access for installations, accurate vehicle and user information, timely payment, and cooperation needed to activate and maintain tracking accounts.

3. Timelines and Delays

The Company will use commercially reasonable efforts to meet agreed installation and go-live dates. Dates are estimates and may be delayed by weather, parts availability, cellular coverage, Client scheduling, or third-party carrier issues outside our reasonable control. The Company is not liable for delays caused by Client factors or force majeure events.

4. Payment Terms

Fees, taxes, billing cycles, and payment methods will be stated on the invoice, order, or subscription terms. Hardware and professional services may require deposits or payment prior to shipment or install. Recurring software or airtime charges continue until canceled in accordance with your agreement. Late or failed payment may result in suspension of portal access or service until balances are resolved.

5. Intellectual Property

The Client owns its business data and configuration entered into the portal. The Company retains all rights in its proprietary software, firmware, documentation, trademarks, and pre-existing materials. Limited licenses granted to use Company portals and software survive only for the term of paid Services unless otherwise stated in writing.

6. Confidentiality

Each party will protect the other's non-public information, including fleet lists, pricing, and location data, using reasonable care. This duty continues after the agreement ends for information that remains confidential.

7. Limitation of Liability

GPS tracking depends on factors such as cellular networks, sky view, device health, and proper installation. While GPS Tracking Technology LLC works to deliver reliable Services, we do not guarantee uninterrupted connectivity, exact positional accuracy at all times, or specific business outcomes from use of location data. To the maximum extent permitted by law, GPS Tracking Technology LLC is not liable for indirect, incidental, special, or consequential damages arising from use of the Services, including lost profits or loss of data, except where prohibited by applicable law.

8. Termination

Either party may terminate as set forth in the applicable agreement or subscription terms. Upon termination, the Client remains responsible for fees incurred through the effective date. The Company will assist with an orderly wind-down of Services, including export of available data where technically feasible and contractually required.

9. Governing Law

These Terms of Service are governed by the laws of the jurisdiction in which GPS Tracking Technology LLC is organized and operates, without regard to conflict-of-law principles, except where consumer protection laws of your state or country mandate otherwise.
